Terms of Service

These Terms of Service ("Terms") govern access to and use of Agent Messenger (the "Service"), operated by Agent Messenger ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. Acceptance of these terms

You must be at least 18 years old, or the age of legal majority where you live, and able to form a binding contract to use the Service. If you're using the Service on behalf of a business, you're confirming you have the authority to bind that business to these Terms.

2. The service

Agent Messenger connects a WhatsApp number you control to a dashboard you use directly and, if you choose to authorize one, an AI agent (Claude, ChatGPT, or another MCP-compatible client) that can read your messages and contacts within the access you grant it. We provide the connection, the dashboard, the audit trail, and the controls described in these Terms — we are not a party to, and have no visibility into, the substance of conversations you or your agent choose to have except as described in our Privacy Policy.

3. Accounts

You're responsible for the accuracy of the information you give us, for keeping your credentials confidential, and for everything that happens under your account — whether done by you, someone you've given access to, or an AI agent you've connected. Tell us promptly if you suspect unauthorized access.

4. Subscriptions, billing and trials

Paid plans are billed monthly in advance through our payment processor, Polar. Where a free trial is offered, it applies once per account; we reserve the right to determine trial eligibility. Each plan includes a fixed number of connected WhatsApp accounts and a monthly allowance of message-analysis credits — one credit is spent each time your agent reads and analyzes a message (text or media). Connecting accounts and managing contacts never costs a credit. If you cancel, you keep access until the end of your current billing period; there's no long-term contract and no early-termination fee.

5. Refunds

Except where required by applicable law, all fees are non-refundable. We may, at our sole discretion, issue a full or partial refund in a particular case — for example where we believe something on our end went wrong — but we are under no obligation to do so. Whether a refund is granted, and in what amount, is decided solely by us on a case-by-case basis. Submitting a refund request does not guarantee one will be granted.

6. Acceptable use

You're responsible for how you and any agent you connect use the Service, including:

  • Only connecting WhatsApp accounts you're authorized to access, and complying with WhatsApp's own policies and applicable data-privacy laws in your jurisdiction.
  • Not using the Service to analyze message content in a way that's unlawful, harassing, deceptive, or that infringes someone else's rights.
  • Not using the Service to build a competing product, or to access it in a way not intended by its published interfaces (dashboard, MCP tools, documented API).

We may suspend or terminate accounts that violate this section.

7. Connecting AI agents and other clients

You may authorize a third-party AI assistant or other MCP-compatible client to access your account through OAuth, scoped to read-only access to your messages and contacts. Every tool call an authorized client makes is written to an audit log you can read. You can revoke an agent's access at any time. You are responsible for the instructions you give a connected agent and for the consequences of the access you grant it; the third-party AI provider's own terms also apply to your use of it.

8. Your content

You retain ownership of the messages, contacts, and other content stored through the Service ("your content"). You grant us a license to host, process, and analyze your content solely to operate and improve the Service. You're responsible for having the right to connect and store the content you use the Service for.

9. Third-party services

The Service depends on third parties we don't control, including WhatsApp/Meta, payment processing by Polar, and whichever AI assistant you choose to connect. Their own terms and availability apply, and we aren't responsible for their acts, omissions, or downtime.

10. Termination

You may stop using the Service and cancel your subscription at any time from Settings. We may suspend or terminate your access if you violate these Terms, or with reasonable notice for any other reason. Section 5 (Refunds) governs what happens to fees already paid.

11. Disclaimers and limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for any loss of messages, contacts, revenue, or data, arising from your use of the Service — including reads performed by an AI agent you've authorized within the scope you granted it. Nothing in these Terms limits liability that can't be limited under applicable law.

12. Changes to these terms

We may update these Terms from time to time. If a change is material, we'll make reasonable efforts to notify you (for example, by email or an in-app notice) before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
